INVESTMENT & STRATEGIC PARTNERSHIPS

Investment & Strategic Partnerships

Beyond capital,
partners in the next stage of growth.

Biozipcode, Inc. draws on research into “diabetes stem cells” (DSCs), a proposed cell population and Biozipcode™ cell-targeting technology to advance new diagnostic and therapeutic technologies from research toward practical use.

A drug discovery biotech company needs more than research funding to bring findings closer to patients. Nonclinical development, CMC, manufacturing, clinical trials, regulatory work, business development, and international expansion all require specialized capabilities and resources.

We therefore seek strategic partners who can support R&D and business growth over the long term and build enterprise value with us.

Capability Alongside Capital
Capital and the expertise to move development forward.

What to Build and Who It Will Serve

WHY STRATEGIC CAPITAL?

Advance Research to the Next Value Inflection Point

A biotech company’s value is not determined by years of research or the number of publications alone.

The key is to make clear:

What has already been demonstrated?
What must we demonstrate next?
Which development decision will those data enable?

These are the questions we want to answer.

Biozipcode, Inc. regards capital as more than funding to continue research. We use it to reduce scientific and business risks in stages and create the next stage of enterprise value.

Validate disease mechanisms in humans.
Define a product candidate.
Strengthen product-specific IP.
Advance nonclinical, manufacturing, and clinical development.

Linking capital to these clear milestones is a basic principle of our development strategy.

OUR VALUE CREATION MODEL

From Scientific Discovery to Defined Development Stages

What to Build and Who It Will Serve

We draw on more than 20 years of research into diabetes, hematopoietic stem cells, bone marrow-derived cells, and cell targeting.

Our current program has progressed beyond hypotheses alone.

A peer-reviewed 2023 study reported sustained normoglycemia in mice with STZ-induced diabetes after a temporary course of insulin and an HDAC inhibitor.

In 2026, a peer-reviewed human study examined peripheral blood CD34-positive subsets in people with type 2 diabetes as a candidate cellular biomarker, beginning to test hypotheses from animal models in humans.

Several PCT international application families concerning diabetes treatment and diagnosis, abnormal stem cells, and HDAC modulation provide an IP foundation for specific therapeutic and diagnostic concepts.

Biozipcode™ research has explored targeting peptides and gene or nucleic acid delivery involving the nervous system, spinal cord, microglia, and cancer. We are now exploring applications in diabetes stem cells, cancer, and tissue regeneration.

In some areas, the next task is to define the candidate product, target population, and intended use.

We have scientific evidence, early human data, and intellectual property.
The next task is to turn those assets
into defined products.

In an equity partnership, we would focus on the next value inflection points: human validation, product definition, product-specific IP, nonclinical and CMC work, and clinical proof of concept.

CORE DEVELOPMENT ASSETS

R&D Assets Behind Investment & Equity Partnerships

DIABETES THERAPEUTICS

Disease-Modifying Therapies for Diabetes

We aim to intervene in a disease process involving abnormal hematopoietic stem cells and bone marrow-derived cells and develop an investigational treatment whose metabolic effects persist after therapy ends.

Next we need to define target patients, a product candidate, dose, formulation, safety, and durability before moving from preclinical toward clinical development.

BIOMARKERS & DIAGNOSTICS

Diabetes Stem Cell Biomarkers

This research aims to measure disease-associated cells in peripheral blood for patient stratification, assessment of treatment response, and possible future companion diagnostics.

Work has progressed from animal models to human candidate biomarker research. Reproducibility and clinical utility must now be validated.

BIOZIPCODE™

Cell-Targeting Platform

We seek short peptides that recognize particular cells or tissues and explore delivery of drugs, nucleic acids, genes, and diagnostic molecules.

We are developing the platform for potential use beyond diabetes in cancer, neuroscience, regenerative medicine, and other areas.

CAPITAL WITH A MILESTONE

Link Capital to Development Outcomes

We aim to connect capital commitments with defined research outcomes wherever possible.

At the first stage, we would test reproducibility of disease signals in humans, define a candidate product, and assess the potential for IP protection.

Next, we would evaluate nonclinical efficacy, pharmacokinetics, manufacturing and quality, and safety to determine whether clinical development is justified.

In early clinical studies, we would seek more than evidence that dosing is feasible. Clinical measures, biomarkers, and durability after treatment would inform the next decision.

Our priority is to define which risks each capital commitment will reduce and which milestone it will support.

WHO WE SEEK

Partners Who Build Long-Term Value Together

We are considering more than a purely financial investment.

A pharmaceutical company or corporate venture capital investor could contribute drug discovery, nonclinical development, CMC, clinical and regulatory expertise, and international reach alongside funding.

A venture capital partner could help with future financing, business strategy, governance, and planning for licensing or M&A.

Diagnostics, medical device, and biotech companies could combine their biomarker, assay, manufacturing, or sales capabilities with our research.

We seek a shared commitment to the same development milestones between investors and researchers.

STRATEGIC PARTNERSHIP

Align Equity and Business Partnerships

Biozipcode, Inc. also sees value in combining equity and business partnerships.

An equity investment from a pharmaceutical company could be linked to collaborative research or a future licensing option.

An equity relationship with a diagnostics company could support biomarker or companion diagnostic co-development.

An international partner could combine regional business development with potential future commercialization rights.

In this way, we can design capital relationships alongside research, product, and market development.

IP & OWNERSHIP

Define the Rights Behind the Investment Case

Investment in a biotech company depends on research findings and on clearly defined rights:

Who can develop the technology?
Who can sell the product?
Can it be licensed to a third party?

These rights are central to the investment case.

Biozipcode, Inc. is building on international patent families related to diabetes therapies and diagnostics while pursuing new IP around each candidate product.

For programs involving known compounds, we assess whether effective exclusivity could be built through formulations, uses, patient populations, dosing methods, biomarkers, combinations with Biozipcode™, and other product-specific rights, rather than assuming new patents on those compounds themselves.

For findings from university collaborations, we seek to clarify ownership, licenses, sublicensing, and data use so that the rights support future co-development and out-licensing.

Share Evaluation Materials in Stages

DUE DILIGENCE

Share the Information Needed
for Evaluation in Stages

A prospective investor or strategic partner should not have to assess our work solely from this website.

In initial meetings, we can explain our R&D strategy, key scientific findings, pipeline, IP, and upcoming development milestones.

If discussions progress, we may sign an NDA and share information such as:

research data
patents and contracts
development status
Target Product Profile
nonclinical and CMC plans
regulatory and clinical development strategy
business plan and capital structure

This information can be shared in stages to support a partnership decision.

We aim to disclose data still missing, remaining risks, and the funding and development work ahead, as well as strengths.

FROM CAPITAL TO PARTNERSHIP

What Equity Partnership Can Enable

An equity partnership should accomplish more than extending our funding runway.

Define disease biology in humans.
Focus on one product candidate.
Build IP to protect it.
Advance nonclinical, manufacturing, and clinical development.
Move toward co-development or licensing with pharmaceutical companies.
Ultimately, bring research findings to patients.

Capital → Evidence → Product → Medicine

For Biozipcode, Inc., a strategic equity partnership connects capital to evidence, evidence to products, and products to medical care.
